About Rivia Clinics
Rivia Clinics is a group of full-service, multi-specialty, multi-location clinics providing membership-based general and specialist care to employees. While each Rivia Clinic is independently owned, they all operate as part of the same chain under common standards and protocols. The chain is managed and coordinated by Rivia Technologies Ltd, a company registered in Ghana.

2.1 What Business Membership Provides
Your Business Membership provides: access to the Rivia Clinics chain for eligible employees, comprehensive primary and specialist care, virtual and in-person consultations, coordinated care across locations, employee health management and wellness support, administrative support and reporting, and dedicated account management.
2.2 Business Membership Model
Rivia Clinics operates on an employer-sponsored membership model. Your company contracts with Rivia Clinics to provide healthcare access; eligible employees receive individual memberships; each employee's membership is personal and non-transferable; services are delivered according to the Individual Membership Terms.
2.3–2.4 Individual vs. Business Terms
These Business Membership Terms govern the relationship between your organization and Rivia Clinics. Individual Membership Terms govern the relationship between each enrolled employee and Rivia Clinics. Both sets of terms apply to the overall service delivery.
Eligibility & Enrollment
To establish a Business Membership, your organization must be a legally registered entity, meet minimum employee requirements, maintain good standing, and execute a Business Membership Agreement. Your organization determines which employees are eligible subject to agreement terms and applicable laws. Enrollment changes typically occur during initial setup, annual open enrollment, qualifying life events, new hire onboarding, or termination. Process enrollment changes promptly; Rivia Clinics processes enrollments, assigns Primary Rivia Clinics, and issues membership credentials.
Payment Plans
4.1 Pay Upfront Plan
Your company pays a fixed per-employee fee annually (or as agreed). Each employee receives an allocated Care Value for medical services. Care Value covers medically necessary care as determined by Rivia Clinic physicians. Predictable, budget-friendly costs.
4.2 Pay Later Plan
Your company pays for services as employees use them. No upfront per-employee fixed fees. Usage-based billing with itemized invoicing. Scope of covered services determined by your Business Membership Agreement.
4.3–4.4 Choosing Your Plan & Modifications
Your Rivia Clinics account manager can help evaluate the best option. Payment plans are typically locked for the contract term; changes may be negotiated at renewal.
Employer Responsibilities
Your organization must provide and maintain accurate employee enrollment data, current contact information, and employment status updates. Notify Rivia Clinics of employee status changes within specified timeframes (typically 30 days). You are responsible for informing employees about membership benefits, distributing Individual Membership Terms, and explaining how to access services. Pay all recurring fees on time; pay the membership registration fee for each employee. Comply with applicable employment, benefits, and healthcare laws. Cooperate with Rivia Clinics in service delivery and respond promptly to information requests.
Employee Access & Management
Each enrolled employee receives an individual membership, unique login credentials, assignment to a Primary Rivia Clinic, and access to the full Rivia Clinics chain (subject to Individual Membership Terms). Employee memberships are personal and non-transferable. Your organization receives access to an employer portal (where available) for viewing enrolled employees, managing enrollment changes, and accessing aggregated utilization data. Rivia Clinics provides direct support to employees for clinical and membership questions.
Primary Clinic Assignment
Upon enrollment, each employee is assigned a Primary Rivia Clinic based on residential or work address, clinic capacity, employee preferences when feasible, and geographic proximity. The Primary Clinic serves as the employee's medical home, primary location for in-person visits, and coordination point for specialist referrals. Employees may request changes due to relocation or workplace changes; changes are subject to clinic availability and approval. Employees may access Secondary Rivia Clinics when services are unavailable at Primary or when authorized by the Rivia Care and Member Experience Employees.
Services Covered
Business Membership provides employees access to: primary care (routine check-ups, acute illness, chronic disease management, preventive care); specialist care (subject to availability); diagnostic services (lab, imaging); virtual care (telehealth, video visits); medication and deliveries (fees may apply unless free credits offered); and hospital and surgical services (emergency room, hospitalization, surgery when medically necessary and coordinated). Emergency care costs are covered if the employee notifies Rivia Clinics within 72 hours of receiving emergency care. Out-of-chain care is only covered when referred by a Rivia Clinic provider or authorized by the Rivia Care and Member Experience Employees.
Emergency care costs are covered by the membership if the employee notifies Rivia Clinics within 72 hours of receiving emergency care and the situation was a true medical emergency.
Data & Reporting
Your organization receives access to aggregated, anonymized data including utilization metrics, health trends, and engagement metrics. Individual employee medical information is confidential; employers do not receive individual medical records or diagnoses. Reports are typically provided monthly or quarterly. You may not attempt to identify individual employees from aggregated data or use data to discriminate.
Privacy & Confidentiality
Rivia Clinics is committed to protecting employee medical privacy and complies with applicable data protection laws. As the employer, you do not have access to individual employee medical records. Both parties agree to keep business terms and pricing confidential and to protect proprietary information. In the event of a data breach, Rivia Clinics will notify affected individuals as required by law.
Billing & Payments
Pay Upfront: membership registration fee per employee (one-time, non-refundable), fixed per-employee fees billed annually or per agreement, payment typically due within 30 days. Pay Later: registration fee per employee, usage-based billing, itemized invoicing. Late payments may incur fees or service suspension. Billing disputes: notify in writing within 15 days of invoice date, pay undisputed portion on time. Fees may be adjusted at renewal with advance notice.
Adding & Removing Employees
To add employees: provide employee information, pay the registration fee per new employee, Rivia Clinics processes enrollment (typically 5–10 business days). To remove: notify Rivia Clinics within specified timeframe (typically 30 days), provide termination date, employee membership ends on specified date. Pay Upfront: prorated charges or credits may apply. Pay Later: billing reflects actual usage by active employees.
Dependants & Family Members
Dependants and family members must have separate individual memberships and require separate enrollment and payment. To enroll dependants: provide dependant information, pay registration fee per dependant, pay per-person recurring fees. Eligible dependants typically include spouses, children (age limits may apply). Family members can be assigned to the same Primary Rivia Clinic.
Service Levels & Performance
Rivia Clinics commits to high-quality medical care, timely appointment availability (targets in agreement), responsive customer service, and coordinated care. Target availability: same-day or next-day virtual care; in-person appointments within specified timeframes. Member services: response within 24–48 hours; employer inquiries: within 2–3 business days. In case of service disruptions, Rivia Clinics will notify affected parties promptly and provide alternative access when possible.
Compliance & Legal Requirements
Rivia Clinics complies with healthcare licensing, data protection, and applicable regulations. Your organization is responsible for compliance with employee benefits laws, non-discrimination, and required notices. Both parties agree to provide services without discrimination and to cooperate with regulatory authorities and audits.
Term & Renewal
Initial term is typically one (1) year unless otherwise agreed. Unless either party provides notice of non-renewal, the agreement automatically renews for successive terms. To elect not to renew: provide written notice within the timeframe specified (typically 60–90 days before term end). Prior to renewal, pricing adjustments and service scope may be renegotiated.
Termination
Either party may terminate for cause, including non-payment, material breach, fraud, or conduct that endangers staff or patients. Termination notices must be in writing and specify effective date. Upon termination, employee memberships terminate, employer must pay all fees due through termination date, and confidential information must be returned or destroyed. Rivia Clinics will assist employees in transferring medical records to new providers.
Limitation of Liability
Medical outcomes cannot be guaranteed; healthcare providers exercise independent medical judgment. Each party's total liability is limited to the fees paid or payable in the twelve (12) months preceding the claim (except for gross negligence, willful misconduct, or fraud). Neither party is liable for indirect, incidental, or consequential damages. Rivia Clinics is not liable for third-party courier delivery issues, third-party technology, or out-of-chain care. Force majeure applies for events beyond reasonable control.
Dispute Resolution
Contact your Rivia Clinics account manager for informal resolution. If unsuccessful, escalate to senior management and explore mediation. Before litigation or arbitration, parties agree to attempt mediation with a mutually selected mediator, costs shared equally. This agreement is governed by the laws of Ghana. Courts of Ghana have exclusive jurisdiction. During dispute resolution, both parties continue to perform obligations where feasible.
Changes to These Terms
Rivia Clinics reserves the right to modify these Terms. For material changes, written notice provided at least 60 days before effective date. By continuing the agreement after changes take effect, the employer accepts the modified Terms. Changes to the specific Business Membership Agreement (pricing, scope) require mutual written consent and must be documented in writing.
General Provisions
These Terms, together with the executed Business Membership Agreement and any amendments, constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. Waivers must be in writing. Employer may not assign without Rivia Clinics' written consent. Rivia Clinics may assign in connection with corporate transactions. The parties are independent contractors. Provisions on payment, confidentiality, liability, and dispute resolution survive termination.
